CONMEYAIYCE OF' EASEMENT
For Ten Dollals and other valuable consideration, I, GLENDALE WESTGATE LODGING
IDIVESTORS IIL LLC, a Wisconsin limited liability company, (Grurtor) hereby grants to the City of
Glendale, an Arizona ldunicipal Corpomtion, (Grantee) an undeaground easeinent to install, r€patr,
operate, maintain and remove a WATERLIITTE AND APPURTAITICES ("facilities") rryon, over md
tmder the surface of the following described propert5n
See Attached Description, "Exhibit A"
Togetha with the right of ingress and egress to, fiom, acrosxt md alo,ng the Gmntor's Property, and with the
righ to use lands adjarrlnrt to said easement during temporuyp€riods of comtuction; the right to opratg
r€par, repl,ace, maintain" and remole facilities alrd appurte,nances fiom said prennises; to add to or alter
said fasilities at any reamnable time; and to operate and maintain said facilities; prcvide4 however, that
the City agees to notiff Grantor prior to its entrl'onto Grantor's Property and agrees touse its best efforts
not to interfere with the legal access to Grantor's Property or to the adjace,nt property immediately west of
Grantor's Property, whose property own€xs and users have acces rights via easeme,lrt over drive aisles on
Grantor's Propertl.
Following any €Nrtry by the City of Glardale upon the easement area described herein, the city of Glendale
shall, at its expeirse, repair urd restore the easement are4 and all other portions of Grantor's property
damagd due to such entry, as nanly as is reasonably possible to its condition existing prior to such entry,
within a reasonable time afterthe wort is performed.
Notwithstanding anything to the contrary s€t forth in this Conveyance of Easeme,lrt, the Crrantor and its
successors md assigns may improre the easernelrt area described herein provided zuch improvement does
not interfere with the Cib"s easement.
