Exempt Pursuant to A.R.S. § 11-1134 (A)(3)
For Ten Dollars and other valuable consideration, Mayo Clinic Arizona, an Arizona non-profit
corporation ("Grantor"), does hereby convey to the City of Glendale, an Arizona municipal corporation
("Grantee"), all right, title and interest to and in that certain parcel of real property situated in Maricopa
County,Arizona, described and depicted as follows:
See Exhibit"A" and Exhibit"B" attached hereto and incorporated herein by this reference (the
"Property")
SUBJECT to current taxes and other assessments, reservations in patents and all easements,rights of way,
encumbrances, liens, covenants, conditions, restrictions, obligations and liabilities as may appear of
record; all matters which an accurate survey of the Property or a physical inspection of the Property
would disclose;and
FURTHER SUBJECT to the express condition that the Property be used solely for the Well Site Purpose
as more particularly described on Exhibit "C" of this Special Warranty Deed with Power of Termination,
which is attached hereto and incorporated herein by this reference.
And Grantor warrants the title against actions of Grantor only, subject to the matters above set forth.

Exhibit"C"
Power of Termination
This Power of Termination is incorporated by reference into the Special Warranty Deed with
Power of Termination(the"Deed")to which it is attached.
1. The Property is conveyed on the express condition that it be used for a drilling, operating,
maintaining, repairing, and replacing a water well and any related equipment such as pumps,
electrical lines, and wireless technology (the "Well Site Purpose"). If Grantee determines that it
no longer needs the Property for the Well Site Purpose, Grantee will notify Grantor in writing (the
"Preliminary Notice"). Unless otherwise agreed by Grantor and Grantee following delivery of the
Preliminary Notice, Grantee shall take all necessary steps, at Grantee's expense, to abandon the
well in accordance with all applicable laws, rules, regulations and ordinances, including without
limitation removing all pumps,piping, wiring, and debris, sealing the well, and filing all necessary
reports with the Arizona Department of Water Resources. Grantee shall notify Grantor in writing
following abandonment of the well in accordance with the preceding sentence (the "Abandonment
Notice"). For a period of one hundred eighty (180) days after receipt of the Abandonment Notice,
Grantor may elect to terminate Grantee's estate in the Property upon the recordation of a
document evidencing Grantor's election of its right to terminate (the "Termination Notice").
Upon recordation of a Termination Notice, title to the Property shall automatically vest in Grantor
without any further action and without payment of any purchase price by Grantor. If requested in
writing by Grantor following the recordation of a Termination Notice, Grantee shall execute a
quitclaim deed to the Property in favor of Grantor.
2. If Grantor does not record a Termination Notice as set forth in Section 1 above, then the condition
set forth in this Deed and Grantor's right to terminate Grantee's estate shall cease and be of no
further force and effect.
3. Grantee may transfer the Property to a third party, but the conveyance to such third party shall be
subject to the condition set forth in this Deed and Grantor's power to terminate such party's
interest in the Property, which condition and right shall run with the land and be binding on
subsequent owners.
4. To the extent permitted by law, Grantor's power to terminate shall have perpetual duration. If
Arizona law limits the period during which right may run with the land, then to the extent
consistent with such law, such right shall automatically be extended at the expiration of such
period for successive 20-year periods unless otherwise terminated.
5. Grantor may assign its rights under this Deed to any person or entity acquiring all or any portion
of Grantor's interest in and to the adjacent property owned by Grantor. Such assignment shall be
evidenced by a written instrument recorded in the records of Maricopa County, Arizona.
6. For purposes of this Deed, notices, demands or other writings to be given, made or sent will be
deemed to be fully given, made or sent if in writing and personally delivered, deposited in the
United States mail, certified mail (return receipt requested), or delivered by reputable overnight
delivery service and addressed as follows:

INGRESS-EGRESS EASEMENT
Exempt Pursuant to A.R.S.§11-1134 (A)(2)
Mayo Clinic Arizona, an Arizona non-profit corporation hereinafter termed "Grantor", for the
consideration of ONE DOLLAR AND OTHER VALUABLE CONSIDERATION, hereby grants to the
City of Glendale, an Arizona municipal corporation, hereinafter termed "Grantee", a non-exclusive
perpetual irrevocable ingress and. egress easement ("IEE") over and across that certain real property
situated in Maricopa County, Arizona as legally described and depicted in Exhibit "A" and Exhibit `B"
attached hereto (the "IEE Area") solely for vehicular and pedestrian ingress and egress by Grantee and its
agents, contractors and invitees to access the project known as Well Site #52 Relocation (the "Project").
Grantor shall have and does reserve the right to use the IEE Area for any purpose not inconsistent with the
rights granted herein or otherwise interfere with Grantee's access to the Project.
Grantee and its successors and assigns releases and agrees to indemnify, defend and hold harmless
Grantor and its officers, directors, partners, agents, employees, members, managers, trustees,
shareholders, and any successors-in-ownership or assigns of any of the foregoing (collectively, the
"Indemnified Parties") for, from and against any and all claims, demands, causes of action, losses,
damages, liabilities, costs and expenses, including, without limitation, reasonable attorneys' fees and
disbursements (collectively, "Claims"), suffered or incurred by the Indemnified Parties arising out of or in
connection with Grantee or its contractors' use and enjoyment of the IEE Area, including, without
limitation (a) any bodily injury, death or property damage caused by the acts or omissions of Grantee or
its agents, contractors, subcontractors, suppliers, or employees, or (b)any mechanics' or materialmen's
liens against the I.EE Area or adjacent property owned by Grantor relating to the construction activities
undertaken by Grantee pursuant to this IEE; provided, however, Grantee shall have no responsibility or
liability for the gross negligence or willful misconduct of Grantor or the Indemnified Parties.
This IEE shall be appurtenant to and shall run with Grantor's property and the IEE Area and shall be
binding upon and inure to the benefit of Grantor, Grantee and their respective heirs, administrators,
personal representatives, successors and assigns.
Grantee, at its sole cost and expense, shall install asphalt concrete pavement within the IEE Area to access
the Project from Beardsley Road and.N. 751h Avenue. Any and all repairs, improvement, maintenance, or
the like needed to reasonably maintain the IEE Area, as utilized by Grantee, shall be the responsibility of
Grantee at its sole cost and expense.
Grantee and its successors and assigns release and agree to indemnify, defend and hold harmless Grantor
and its officers, directors, partners, agents, employees, members, managers, trustees, shareholders, and.
any successors-in-ownership or assigns of any of the foregoing (collectively, the "Indemnified Parties")
for, from and against any and all claims, demands, causes of action, losses, damages, liabilities, costs and.
expenses, including, without limitation, reasonable attorneys' fees and disbursements (collectively,

"Claims"), suffered or incurred by the Indemnified Parties arising out of or in connection with Grantee
use of the IEE Area, including, without limitation: (a) any bodily injury, death or property damage caused
by the acts or omissions of Grantee or its agents, contractors, subcontractors, suppliers, or employees; or
(b) any mechanics' or materialmen's liens against the IEE Area relating to the construction activities
undertaken by Grantee pursuant to this IEE; provided, however, Grantee shall have no responsibility or
liability for the gross negligence or willful misconduct of Grantor or the Indemnified Parties.
Nothing contained herein will be deemed to constitute any dedication to the public or for public use of
any portion of the Grantor's property or the IEE Area.
Neither Grantor nor Grantee shall place or permit any wall, fence or other barrier or structure upon or
within the IEE Area that would interfere with the use of the IEE Area by either Grantor or Grantee, unless
such structure is required by another governmental agency.
This IEE shall be construed in accordance with and governed by the laws of the State of Arizona. In the
event any legal or other proceeding is instituted by any party in connection with this IEE, the costs,
expenses and fees, including but not limited to reasonable attorneys' fees, expert witness fees, litigation
related expenses, and costs, incurred by the prevailing party in any such proceeding may be assessed
against and paid by the other party, and shall be included in any judgment obtained by the prevailing
party.

Exempt Pursuant to A.R.S.§11-1134(A)(2)
Mayo Clinic Arizona, an Arizona non-profit corporation hereinafter referred to as"Grantor", owner of
certain real property located in Maricopa County, Arizona, hereby grants to the owner(s) and/or
operators(s) of public utility facilities a non-exclusive public utility easement for the purpose of installing,
constructing, maintaining, repairing, replacing and utilizing underground public utilities (the "Public
Utility Easement")over, under, across and through the certain portion of real property (the"Public Utility
Easement Area") legally described and depicted as follows:
See Attached Exhibit"A"and Exhibit`B".
Grantor shall have and does reserve the right to use the Public Utility Easement Area for any purpose not
inconsistent with the rights granted herein and that does not interfere with the use of the Public Utility
Easement Area for underground public utilities, and Grantor further retains the right to grant unto others
the right to use the Public Utility Easement Area for any purpose not inconsistent with the rights granted
herein, provided such third party use does not interfere with the use of the Public Utility Easement Area
for underground public utilities.
The owner(s) and/or operators(s) of any public utility facilities that utilize this Public Utility Easement
shall comply at all times with all local, state, and federal laws and regulations, and shall obtain all
necessary permits, pay all applicable fees, and post any bonds required prior to accessing or installing,
using, operating,maintaining, repairing, removing, and replacing any of the public utility facilities located
within the Public Utility Easement Area.
This Public Utility Easement shall be appurtenant to and shall run with Grantor's property and the Public
Utility Easement Area and shall be binding upon and inure to the benefit of Grantor, owner(s) and/or
operators(s) of any public utility facilities that utilize this Public Utility Easement, and their respective
heirs,administrators,personal representatives, successors and assigns.

Exempt Pursuant to A.R.S.§11-1134 (A)(2)
Mayo Clinic Arizona, an Arizona non-profit corporation hereinafter termed "Grantor", for the
consideration of ONE DOLLAR AND OTHER VALLiABLE CONSIDERATION, hereby grants to the
City of Glendale, an Arizona municipal corporation, hereinafter termed "Grantee", a non-exclusive
temporary construction easement ("TCE") across that certain real. property situated in Maricopa County,
Arizona, as legally described and depicted in "Exhibit A" and "Exhibit B" attached hereto (the "TCE
Area") for use by Grantee's agents, contractors and invitees for the purpose constructing and implementing
of the project known as Well Site ##52 Relocation (the "Project"). Grantor shall have and does reserve the
right to use the TCE Area for any purpose not inconsistent with the rights granted herein, provided such
use does not interfere with the Project.
Grantee shall conduct its construction and installation of the Project in a manner consistent with the
publicly-available design documents and in a manner that will not interfere with Grantor's use of the TCE
Area. During the term of this TCE, Grantee (1) shall at all times have access to, from and through the TCE
Area in order to plan, initiate, implement and complete the Project, and(2) shall not permit trash and debris
to accumulate on the TCE Area or on Grantor's adjacent property and shall periodically remove and place
trash and debris in appropriate trash containers. All building materials shall be piled and stored in a
manner so as not to unreasonably interfere with Grantor's use of the TCE Area.
To the extent practicable, upon the termination of this TCE, Grantee shall restore the Property to the same
condition as existing immediately prior to Grantee's Project initiation.
Grantee and its successors and assigns release and agree to indemnify, defend and hold harmless Grantor
and its officers, directors, partners, agents, employees, members, managers, trustees, shareholders, and
any successors-in-ownership or assigns of any of the foregoing (collectively, the "Indemnified Parties")
for, from and against any and all claims, demands, causes of action, losses, damages, liabilities, costs and
expenses, including, without limitation, reasonable attorneys' fees and disbursements (collectively,
"Claims"), suffered or incurred by the Indemnified Parties arising out of or in connection with Grantee or
its contractors' use of the TCE Area, including, without limitation: (a)any bodily injury, death or property
damage caused by the acts or omissions of Grantee or its agents, contractors, subcontractors, suppliers, or
employees; or (b) any mechanics' or materialmen's liens against the TCE Area relating to the
construction activities undertaken by Grantee pursuant to this TCE; provided, however, Grantee shall
have no responsibility or liability for the gross negligence or willful misconduct of Grantor or the
Indemnified Parties. Grantee's indemnity obligations set forth herein shall survive any termination of this
TCE for a period of twenty-four(24) months with respect to any Claims accruing prior to the termination
of this TCE.

It is further understood and agreed that this TCE will expire and terminate upon the earlier of (a) thirty
(30) days after the completion of construction of the Project and final approval thereof by all required
governmental authorities: or (b) December 31, 2027. After termination of this TCE, upon the written
request of Grantor, Grantee shall execute and deliver such documents and instruments as are reasonably
required in order to evidence the termination of this TCE. The immediately preceding sentence of this
Section shall survive the termination of this TCE.
Nothing contained herein will be deemed to constitute any dedication to the public or for public use of
any portion of the Grantor's property or the TCE Area.
Neither Grantor nor Grantee shall place or permit any wall, fence or other barrier or structure to be
erected upon or within the TCE Area that would interfere with the use of the TCE Area by either Grantor
or Grantee.
This TCE shall be construed in accordance with and governed by the laws of the State of Arizona. In the
event any legal or other proceeding is instituted by any party in connection with this TCE, the costs,
expenses and fees, including but not limited to reasonable attorneys' fees, expert witness fees, litigation
related expenses, and costs, incurred by the prevailing party in any such proceeding shall be assessed
against and paid by the other party, and shall be included in any judgment obtained by the prevailing
party.

The Escrow Agent shall first apply the purchase price on deposit to satisfy any due and delinquent taxes,Deed of Trusts,leasehold interests,special
assessments,and other encumbrances as may be authorized for payment,and the balance thereof shall be paid in accordance with the terms herein.
Instructions to Escrow Agent:Deposit all escrowed funds in escrow account and disburse same by check;pay encumbrances in accordance with this
agreement;prorate all agreed items;record such escrowed instruments as are necessary or proper in the issuance of title insurance;and pay the balance
of the escrowed funds to the party or parties entitled thereto. It is further understood and agreed that the Title Company shall not be responsible for
any liens or encumbrances not of record at the closing of escrow.
The CITY OF GLENDALE Engineering Department will be furnished a copy of the GRANTORS'closing statement with the following certification
signed by an authorized officer: "This is to certify this is a true and correct statement of disbursement of funds collected from the CITY OF
GLENDALE."
The Escrow Agent is to request the GRANTOR acknowledge receipt of the amount shown on the closing statement as due GRANTOR. Either a copy
of this request or a copy of a signed receipt is to be retained in the escrow file.
The CITY OF GLENDALE will pay the costs of the owner's title insurance policy; fees associated with lender releases or loan payoffs,including
endorsements,document preparation,and other expenses related thereto;escrow fees and other charges by escrow companies incidental to the closing
of escrow.In the alternative,the CITY OF GLENDALE may,at its option,waive escrow and/or title insurance.Upon such waiver,the references to
Title Company,Escrow Agent and title insurance herein are not applicable.
Subject to the limitations set forth in this Purchase Agreement and Escrow Instructions,GRANTOR and GRANTEE(City of Glendale)shall defend,
indemnify and hold free and harmless the other party from and against any losses,damages,costs and expenses(including reasonable attorneys'fees
and costs)resulting from any inaccuracy in or breach of any representation or warranty of the indemnifying party or any breach or default by the
indemnifying party under any of the indemnifying parry's covenants or agreements contained in this Purchase Agreement and Escrow Instructions.
Except with respect to any express representations, covenants, warranties, and statements set forth in this this Purchase Agreement and Escrow
Instructions or in the documents to be executed by GRANTOR at the close of escrow,GRANTEE(City of Glendale)is purchasing the Property"AS-
IS,WITH ALL FAULTS"as may exist on the close of escrow.Except as to the representations,covenants,and warranties set forth in this Purchase
Agreement and Escrow Instructions or the deed,GRANTOR disclaims any warranty,guaranty or representation concerning(i)the nature or condition
of the Property,(ii)the compliance of the Property with any laws,ordinances or regulations of any government or other body;or(iii)the suitability of
the Property for GRANTEE's (City of Glendale's) intended use. Excluding any claims that GRANTEE (City of Glendale) may have against
GRANTOR as a result of a breach by GRANTOR of any express representations, warranties, covenants, or agreements set forth in this Purchase
Agreement and Escrow Instructions, or resulting from any fraud, gross negligence or willful misconduct of GRANTOR or GRANTOR's agents,
effective as of close of escrow,GRANTEE(City of Glendale)releases GRANTOR from,and waives any right to proceed against GRANTEE(City of
Glendale)for,any claims and liabilities,whether known or unknown,arising out of the condition of the Property.
If any element of this transaction is not handled through a title company,the conveyance will be delivered directly to CITY OF GLENDALE and
payment will be made direct from the GRANTEE to the GRANTORS after approval and acceptance by the CITY OF GLENDALE CITY COUNCIL
and the final filing and recording of the documents.
It is understood and agreed the consideration expressed herein is accepted by the GRANTOR as full and complete compensation for the interest being
acquired.
The CITY OF GLENDALE agrees to pay and the GRANTOR accepts the payment in full for the property(the"Property")described herein:
• Real property in the amount of One Hundred Thirty-Six Thousand Two Hundred and No/100 Dollars ($136.200.00)described and
depicted in Exhibit A-1 and A-2
• Access Easement in the amount of Eighty-Four Thousand Eight Hundred Forty and No/100 Dollars($84,840.00)described and depicted
in Exhibit B-I and B-2
• Public Utility Easement in the amount of Three Thousand Six Hundred and No/100 Dollars($3,600.00)described and depicted in Exhibit
C-1 and C-2
• Temporary Construction Easement in the amount of Seventy-Two Thousand Three Hundred and No/100 Dollars($72,300.00)described
and depicted in Exhibit D-1 and D-2
• Improvements located on the property in the amount of One Thousand Three Hundred Fifty and No/100 Dollars($1,350.00)and broken
out as follows in Exhibit E-1
The CITY OF GLENDALE shall be responsible for damage that occurs as a result of the CITY OF GLENDALE's temporary use or occupation of the
GRANTORS'property due to the City's gross negligence,or the gross negligent acts or conduct of its agents,employees,or contractors.All claims
shall be submitted in accordance with the requirements of ARS 12-821.
This Agreement is subject to cancelation pursuant to A.R.S.§38-511.
It is further agreed settlement is being made in lieu of condemnation,and therefore not admissible as evidence of value,nor for any other evidentiary
purpose,in conjunction with any judicial or administrative proceeding.

MAYO CLINIC ARIZONA
The undersigned hereby certifies that she is the Secretary of Mayo Clinic Arizona, an
Arizona nonprofit corporation. The undersigned further certifies that Article V, Section 7 of the
corporation's Bylaws reads as follows:
"Section 7. Execution of Documents. The Mayo Clinic in Arizona Executive
Operations Team may by resolution specify officers or other individuals who may
execute specific types of documents. Additionally, each officer shall have the
general power for, and in the name of,the Corporation to execute documents of
various kinds relating to the Corporation's affairs except that all deeds,mortgages,
satisfactions and releases of mortgages,leases for more than three years, contracts
for the conveyance of land,bond indentures(including promissory notes or
guarantees issued in connection with such bond indentures but not other promissory
notes or guarantees)must bear the signature of either the Vice President,Mayo
Clinic and CEO of Mayo Clinic in Arizona or a Vice Chair and the signature of any
other officer. Each officer shall have the power to delegate in writing the execution
authority of such officer to specific employees of any Mayo Clinic affiliated entity
with respect to specific documents or types of documents;provided,however,that
each written delegation of an officer's signature authority must be in a form
approved by the Secretary of Mayo Clinic in Arizona and a copy of the written
delegation must be filed with the Secretary of Mayo Clinic in Arizona and with the
Secretary of Mayo Clinic. Third parties may rely conclusively upon a Certificate of
the Secretary of Mayo Clinic in Arizona setting forth the signature authority of
individuals on behalf of Mayo Clinic in Arizona and on behalf of any of its internal
committees or subcommittees."
