Camelback Road Litchfield Park, AZ 85340 Attn: Engineering Department ���—� Re: Luke Field SEWER LINE EASEMENT In consideration of One Dollar ($1.00), and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, CITY OF GLENDALE, an Arizona municipal corporation (hereinafter called "Grantor', does hereby grant and convey to LIBERTY UTILITIES (LITCBFIELD PARK WATER & SEWER) CORP., an Arizona corporation (hereinafter called"Company"), its successors and assigns,a non-exclusive easement to construct, operate and maintain water and sewer lines and appurtenant facilities(collectively,the"Facilities") upon, across, over and under the surface of the premises hereinafter described (the "Easement Property"). The Easement Property is situated in Maricopa County, Arizona and is described as follows: See Exhibit"A", attached hereto and by reference made a part hereof. Together with the right to operate,repair, replace, maintain,and remove the Facilities and appurtenances from the Easement Property,and to add or to alter the Facilities,with access to said easement and Grantor agrees to permit normal operations of the Company in connection with the Facilities, including, without limitation, necessary operation, repair, replacement, maintenance, relocation and/or removal of the Facilities. Company will have unrestricted access to the easement for activities described above and formal notification or approval by Grantor or any association prior to accessing the easement will not be required. Grantor acknowledges that the Company's water and sewer lines and appurtenant facilities are above- and below-ground and that the construction,maintenance, and repair of the Facilities may require the use of heavy equipment for these purposes. Additionally, the Facilities may require maintenance and/or repair anytime, day or night. Grantor shall not erect or construct or permit to be erected or constructed any building or other structure within the limits of said easement;provided, however, Grantor shall have the right to construct and erect fences, to install landscaping, parking facilities and driveways, and to establish other uses which are not inconsistent with Company's uses within the limits of said easement in a manner which will not unreasonably interfere with the Company's right of access to or use of the Facilities.Grantor understands and agrees that Company will not be required to repair or replace (or pay costs to repair or replace) any fences, landscape work, parking facilities, driveways, or other improvements (other than asphalt, concrete, and landscape rock) that are damaged during any repair, replacement, maintenance, relocation, removal or installation of existing or additional lines or other Facilities in the easement by Company. Grantor further acknowledges and agrees that any repair or replacement by Company of the items in the parenthetical of the above sentence will be done in a commercially reasonable manner but will not Initial 43]25395.21035227.0042 necessarily match the surrounding materials based upon the age and availability of the surrounding materials.
