HomeMy WebLinkAboutMinutes - Minutes - Industrial Development Authority - Meeting Date: 10/11/2023MINUTES OF SPECIAL MEETING OF THE BOARD OF DIRECTORS OF THE INDUSTRIAL DEVELOPMENT AUTHORITY OF THE CITY OF GLENDALE, ARIZONA October 11, 2023 A Special Meeting of the Board of Directors of The Industrial Development Authority of the City of Glendale, Arizona (the "Authority") was duly called and held at 4:00 p.m. on Wednesday, October 11, 2023, in the Civic Center Annex — Vault Boardroom, 5752 West Glenn Drive, Glendale, Arizona. The following Directors of the Authority were present at the meeting: Robert L. Holmes, Miles Charles and Howard A. McKenna. Darryl Jaquess was present by telephone. Directors John Catledge and Lisa Maestas were absent. Robert L. Holmes, President of the Authority, presided at the meeting and Julie Arvo MacKenzie, legal counsel to the Authority, served as Secretary at the meeting. Also present were Jessi Pederson and KC Shuck of the City of Glendale Economic Development Department; Chris Coffinan, Executive Director of Helping Hands for Single Moms; Clara Felix, Program Director for Helping Hands for Single Moms; and Melanie Baca, a graduate funded with scholarships provided by the Authority. The minutes of the Special Meeting of the Board of Directors of the Authority held on June 20, 2023, were presented to the meeting and reviewed and discussed. Upon a motion made by Mr. McKenna and seconded by Mr. Charles, the minutes were approved and adopted by unanimous vote. Mr. Holmes advised that the next item on the Agenda was for the representatives of Helping Hands for Single Moms to give a report. Mr. Holmes called upon Mr. Coffman to review for the Board the scholarship program and the way the past year's funding had been applied and expended. He discussed the Helping Hands program and distributed to the Board information regarding the recipients of the Glendale IDA scholarships and general information regarding the Helping Hands program (copies of these materials to be included in the permanent records of the Authority). Next, Mr. Holmes called upon legal counsel who advised that on a periodic basis, the Authority Board was asked to adopt a Resolution authorizing each Director to be an authorized signer for the Authority and authorizing each Director and members of the Squire Patton Boggs firm as authorized persons to conduct public hearings on behalf of the Authority. Ms. Arvo MacKenzie presented the Directors a proposed form of Resolution which, after discussion and upon a motion made by Mr. McKenna and seconded by Mr. Charles, was unanimously adopted, a copy thereof to be kept as part of permanent records of the Authority. Next, Mr. Charles, as Treasurer of the Authority, gave a financial report as of October 11, 2023, which noted that the Authority had aggregate funds of $206,664.31. Thereafter, 1098167198\11AMERICAS upon a motion made by Mr. McKenna and seconded by Mr. Charles, the financial report was accepted as presented, a copy of which is included in the records of the Authority. Next, Mr. Holmes noted there was a final invoice from Clark Hill in the amount of $5,658.41. Additionally, there are two invoices from Squire Patton Boggs in the amounts of $738.48 and $7,003.92, respectively. Thereafter, upon a motion made by Mr. McKenna and seconded by Mr. Charles, the Board unanimously approved payment of these invoices. After further discussion regarding the Helping Hands program as well as the financial condition of the Authority and upon a motion made by Mr. McKenna and seconded by Mr. Charles, the Board unanimously voted to award a $20,000 grant to Helping Hands for Single Moms to fund scholarships to single moms either residing in or attending school in Glendale. After discussion regarding the Arizona Humane Society as well as the financial condition of the Authority and upon a motion made by Mr. McKenna and seconded by Mr. Charles, the Board unanimously voted to award a $5,000 grant to the Arizona Humane Society.
