Grantor may change the existing use of the Easement Property and these restrictions upon not less than one hundred-twenty (120) days' prior written notice and after consultation with Grantee as to the required separations, protections, and/or relocation or modification of Grantee's facilities that may be necessitated by Grantor's change in use; all subject to the following provision regarding such relocations. 2. Grantee shall bear all costs of relocating its facilities located under said Property occasioned by its needs or Grantor's needs which are necessary for the Grantor's carrying out its governmental functions. In all events, Grantor shall cooperate with Grantee so as to minimize the cost or avoid the need for such relocations; and Grantor shall provide such alternate location with at least equivalent rights to Grantee without cost to Grantee for the relocation. In no event shall Grantor invoke these relocation rights at Grantee's expense for the benefit of any other third party. 3. Grantor shall ensure that no other grants or permissions to others to use the Property shall abridge or interfere with Grantee's rights or Grantee's facilities and all required separations from Grantee's facilities be maintained and all statutes, rules,and regulations for the protection of underground utility facilities are strictly observed at all times. 4. Grantee and its contractors, agents and employees shall have the right to trim or top any trees and to cut such roots and remove such obstacles that could endanger or interfere with Grantee's facilities, and shall have access to its facilities at all times for the purpose of exercising the rights herein granted. 5. Other than required pipeline markers, Grantee shall not install above-ground facilities within the Easement Property without consultation with and concurrence by Grantor. Should such above- ground facilities become necessary, then Grantee further agrees to coordinate with Grantor to install such protective and aesthetic barriers to minimize visual impacts of such above-ground facilities. Both Parties acknowledge and agree that this provision is not deemed to be nor shall it be construed as setting precedent or creating a requirement for any or all current similar installations located within the Grantor. 6. All other provisions of the Easement remain as written. The duly-authorized representatives of the Parties have executed this Amendment, to be effective as of the effective date of the Easement.
