For and in consideration of the sum of One Dollar ($1.00) and other good and valuable
consideration, receipt of which is hereby acknowledged,the undersigned, hereinafter referred to
as Grantor(s), does hereby grant and convey unto SOUTHWEST GAS CORPORATION, a
California Corporation, its successors,assigns, licensees,and invitees as reasonably necessary
to effect the purpose of this Natural Gas Pipeline Easement(Easement), hereinafter referred to
as Grantee, a perpetual easement for the installation and maintenance of a natural gas pipeline
or pipelines and related appurtenances,across, over, under and through the following described
property(Property),to wit:
SEE ATTACHED EXHIBIT(s) "A" &"B"; also subject to the terms in attached"Amendment"
together with the right of ingress and egress to and from the said easement and the right to use
existing roads for the purpose of constructing,inspecting,repairing,and maintaining said pipeline
01 pipelines and appurtenances and the removal or replacement of same, in whole or in part. at
will.
Grantor agrees that no buildings, structures, fences, or trees shall be placed upon, over or
under said Property,except for street, road, or driveway purposes,which Grantor agrees shall not
interfere with Grantee's exercise of the rights herein granted. Grantee agrees to work with due
care in the exercise of its rights on the property and to restore it to reasonably the same condition
which existed before the work was performed.
Except as provided above, Grantee agrees to pay all direct damages which are caused by
the Grantee's exercise of the rights herein granted.

This Amendment is attached to and made a part of the Southwest Gas Corporation Grant of Natural Gas
Pipeline Easement("Easement")between CITY OF GLENDALE,an Arizona municipal corporation, (as
"Grantor"),and Southwest Gas Corporation(as"Grantee"),and governs in the event of conflict.
1. Grantor may change the existing use of the Easement Property and these restrictions upon not
less than one hundred-twenty (120) days' prior written notice and after consultation with
Grantee as to the required separations, protections, and/or relocation or modification of
Grantee's facilities that may be necessitated by Grantor's change in use; all subject to the
following provision regarding such relocations.
2. Grantee shall bear all costs of relocating its facilities located under said Property occasioned by
its needs or Grantor's needs which are necessary for the Grantor's carrying out its
governmental functions. In all events, Grantor shall cooperate with Grantee so as to
minimize the cost or avoid the need for such relocations; and Grantor shall provide such
alternate location with at least equivalent rights to Grantee without cost to Grantee for the
relocation. In no event shall Grantor invoke these relocation rights at Grantee's expense for
the benefit of any other third party.
3. Grantor shall ensure that no other grants or permissions to others to use the Property shall
abridge or interfere with Grantee's rights or Grantee's facilities and all required separations
from Grantee's facilities be maintained and all statutes, rules,and regulations for the protection
of underground utility facilities are strictly observed at all times.
4. Grantee and its contractors, agents and employees shall have the right to trim or top any trees
and to cut such roots and remove such obstacles that could endanger or interfere with
Grantee's facilities, and shall have access to its facilities at all times for the purpose of
exercising the rights herein granted.
5. Other than required pipeline markers, Grantee shall not install above-ground facilities within the
Easement Property without consultation with and concurrence by Grantor. Should such above-
ground facilities become necessary, then Grantee further agrees to coordinate with Grantor to
install such protective and aesthetic barriers to minimize visual impacts of such above-ground
facilities. Both Parties acknowledge and agree that this provision is not deemed to be nor shall
it be construed as setting precedent or creating a requirement for any or all current similar
installations located within the Grantor.
6. All other provisions of the Easement remain as written.
The duly-authorized representatives of the Parties have executed this Amendment, to be effective as of
the effective date of the Easement.
