SPECIAL WARRANTY DEED

The Flood Control District of Maricopa County, a municipal corporation and political
subdivision of the State of Arizona, as GRANTOR, for the sum of Three Million Five
Hundred Forty Thousand Three Hundred Ninety and 00/100 dollars ($3,540,390.00) and
other valuable consideration, receipt and sufficiency of which are hereby acknowledged, paid by
the City of Glendale, a municipal corporation of the State of Arizona, as GRANTEE, herein
does grant, sell, and convey to GRANTEE all that certain real property situated in the County of
Maricopa, State of Arizona, described as follows:

Attached hereto and incorporated herein
The GRANTOR hereby conveys unto GRANTEE all warranties of title of any nature
whatsoever that GRANTOR owns, provided, however, GRANTOR warrants title against all of
its acts and no other acts. This property is conveyed subject to: assessments, reservations,
easements, rights-of-way, deed restrictions and other agreements as may appear on record.

GRANTOR warrants that no portion of the property is the subject of a threatening or pending
investigation or lawsuit or administrative action by any person, firm, governmental body or other
entity relating to or arising from any matter or circumstance subject to regulation pursuant to any
statute, ordinance, rule or regulation, and GRANTOR has received no unofficial or official
notice of any alleged violations of any statutes, ordinances, or regulations.
GRANTEE hereby agrees that subject property is conveyed for a public purpose and shall be
utilized for a public purpose by the GRANTEE.
As required by ARS 48-3603(I), if all or a part of this property is subsequently sold by
GRANTEE as undeveloped property for a price exceeding the original sale price, the District
shall be paid the difference between the original price and the subsequent sale price.

LEGAL DESCRIPTION
That portion of Lot 1 (NE4NE4) of Section 5 - T2N, R1E, G&SRB&M,
Maricopa County, Arizona, lying East of the East right of way
line of the New River Channel; said portion is described as
follows :
COMMENCING at the Northeast corner of said Section 5; thence
along the East section line, South 00°03 ' 19 " West 428 . 86 ' to the
North line of the South 850 ' of Lot 1; thence along said North
line, South 88°18 ' 01" West 55 . 02 ' to the West line of the East
55 ' of said section and the POINT OF BEGINNING; thence along said
West line, South 00°03 ' 19 " West 850 . 40 ' to the South line of said
Lot 1; thence along said South line, South 88°18 ' 01" West 821 . 34 '
to a point on the East right of way line of the New River
Channel; thence along said East line through a non-tangent curve
concave to the Northwest from which point a radial bears North
51°06 ' 56 " West; thence Northeasterly along said curve through a
central angle of 35°46 ' 18" , an arc length of 936 . 50 ' , with a
radius of 1500 . 00' to a point on the North line of the South 850 '
