GRANT OF EASEMENT
(WATER AND SEWER)
For Ten Dollars and other valuable consideration, according to the terms and subject to the
conditions set forth herein, ENTERTAINMENT CENTER DEVELOPMENT, LLC, a Delaware
limited liability company ("Grantor"), hereby grants to the CITY OF GLENDALE, an Arizona
municipal corporation ("Grantee"), a non-exclusive easement for the operation, inspection,
maintenance, repair and replacement of certain water and sewer lines and related facilities
improvements already installed by Grantor and approved by Grantee as of the date hereof,
including an underground potable water line, sanitary sewer line, valves and connections
(collectively, the "Utility Improvements"), upon, over and under the portion of the real property
owned by Grantor that is legally described in Exhibit A attached hereto (the "Easement Area")

ingress and egress over the driveways to the Easement Area from any existing road or right-of-
way as may be reasonably required for necessary access for the foregoing purposes, provided
that such right shall be exercised in a manner that will interfere as little as reasonably possible
with the use and occupancy of the parcels containing the Easement Area.
Grantee shall be responsible, at Grantee's sole cost and expense, for: (i) performing all work
required for the operation, inspection, maintenance, repair and replacement of the Utility
Improvements and for maintaining the Easement Area and surrounding areas in safe and sound
condition during the course of such work, in accordance with municipal construction
requirements and all applicable laws; and (ii) upon completion of such work, promptly filling,
compacting and restoring the surface of the Easement Area (including, but not limited to, any
landscaping, paving or permitted improvements thereon) to the condition immediately before
such work commenced and repairing any damage or disturbance of any existing conditions or
facilities that was caused by Grantee or its employees, agents, contractors. Grantee represents
and covenants that Grantor shall have the right to be connected to the Utility Improvements, by
agreeing to pay customary connection fees and consumption charges.
Grantee agrees not to interfere with the use of the Easement Area, on a non-exclusive basis, by
the operator of any other utilities now or hereafter installed in the Easement Area. As a material
inducement to this Grant of Easement, Grantee hereby waives any claims against Grantor arising
from or related to the lawful use and enjoyment of the surface above the Easement Area.
Grantor agrees, however, not to install any buildings or other structures on the surface above the
Easement Area that materially and adversely affect the use of the Easement Area by Grantee, and
Grantor further acknowledges Grantee's right, upon prior notice to Grantor, to trim or remove
trees or shrubs in the Easement Area that unreasonably interfere with Grantee's permitted use;

provided, however, that nothing herein shall be deemed to preclude Grantor for using the
Easement Area as a footpath, driveway,parking area, or similar use.
Grantee hereby defends, indemnifies and holds Grantor harmless for, from and against any and
all claims, demands, liabilities, actions, judgments, fines, penalties, damages, losses and
expenses (including but not limited to attorneys' fees and court costs) arising out of or in any
way related to the exercise of the rights under this Grant of Easement, the breach of Grantee's
obligations under this Grant of Easement, and the use of the Easement Area by Grantee or its
employees, agents, or contractors. In the event of any litigation between the parties to enforce
this Grant of Easement, the non-prevailing party in such litigation, as determined by the court,
covenants and agrees to pay the prevailing party, as determined by the court, all costs and
expenses including, but not limited to, reasonable attorneys' fees to be determined by the court
and not by a jury.
The covenants contained in this Grant of Easement and the rights granted hereby shall run with
the title to the Easement Area, and shall bind and inure to the benefit of the parties hereto and
their respective successors in title. In interpreting this Grant of Easement, the term "Grantor"
shall be interpreted so as to apply to the respective fee simple absolute owners of the Easement
Area at the time in question.
The easement granted herein shall be non-exclusive. Grantor shall have the right to grant
additional easements to other persons over or under the Easement Area (or portions thereof) and,
without limiting the generality of the foregoing, to install, cause to be installed or permit to be
installed, for their own use or for use by others, additional utility lines (including, but not limited
to, gas, cable television, telephone and other communications lines and incidental facilities) that
intersect (but do not parallel the Utility Installations and lie within) the Easement Area, that do
not unreasonably interfere with Grantees' use and enjoyment of the Easement Area.
IN WITNESS WHEREOF, the parties have executed this Grant of Easement to be effective as of
the date that it is recorded with the Office of the Maricopa County Recorder.
