LEE PROPERTIES, LLC, AN ARIZONA LIMITED LIABILITY COMPANY, hereby grant to the City of Glendale, an Arizona Municipal Corporation, an underground easement to install, repair, operate, maintain and remove PUBLIC WATER & SEWER EASEMENT ("facilities") upon, over and under the surface of the following described property: See Attached Description,"Exhibit A" Together with the right of ingress and egress to, from, across and along the Grantors' Property, and with the right to use lands adjacent to said easement during temporary periods of construction; the right to operate, repair, replace, maintain, and remove facilities and appurtenances from said premises; to add to or alter said facilities at any reasonable time; and to trim or remove any trees or shrubs that in the judgment of the City may interfere with the construction, operation or maintenance of said facilities. Following any entry by the City of Glendale upon the easement area described herein, the City of Glendale shall, at its expense, repair and restore the easement area, and all other portions of Grantor's property damaged due to such entry, as nearly as is reasonably possible to its condition existing prior to such entry, within a reasonable time after the work is performed. Notwithstanding anything to the contrary set forth in this Conveyance of Easement, the Grantor and its successors and assigns may improve the easement area described herein provided that it is not improved with a permanent building or structure. Such permitted improvements include pavement (including, without limitation, a roadway or sidewalk) or a similar covering and landscaping and other uses that do not now or later interfere with the City of Glendale's rights or uses granted herein. By acceptance of this instrument, the City of Glendale shall be bound by the obligations imposed on it herein, and agrees to exercise reasonable care to avoid any damage to said real property described above.
