HomeMy WebLinkAboutProperty #: P17-035 - 12/12/2017 P17-035 017-1139 MEMORANDUM OF UNDERSTANDING FOR DEDICATION OF RIGHT OF WAY AND IMPROVEMENTS FOR 95'AVENUE This Memorandum of Understanding("MOU")is made and entered into this o Si' day of `r_eb rua ,2018 by and between the City of Glendale,an Arizona municipal corporation, ("Glendale")awl Bethany 101 LLC,an Arizona limited liability company formerly known as KCI Bethany 101,LLC,as to an undivided 76.2% interest and KCP Bethany Holdings,LLC, an Arizona limited liability company, as to an undivided 23.8%interest, as tenants-in-common(collectively "B101"). RECITALS: A. Glendale is a party to the Stadium Parking Settlement Agreement,dated November 15,2016 ("Settlement Agreement"); B. B l O l owns or controls certain real property along 95th Avenue between Bethany Home Road and Camelback Road within City boundaries,which property(the"B101 Parcel")is legally described on the attached Exhibit 1; C. In order to relieve traffic congestion,assist in promoting smoother traffic flow, and to fulfill the terms of Section 6 of the Settlement Agreement,Glendale will construct and improve that certain section of 95th Avenue depicted in the attached Exhibit 2(the"Roadway"); D. In exchange for the benefit and enhancement of its frontage property through the construction of the Roadway,B101 will dedicate to Glendale over three acres of property necessary to construct the Roadway; E. The parties desire to memorialize their conceptual agreement by this written document. NOW,THEREFORE, in consideration of the Recitals,which are confirmed as true and correct and incorporated by this reference,the mutual promises and covenants contained in this MOU,and other good and valuable consideration,the City and B101 agree as follows: 1. B101 Commitment: a. No later than June 31,2018,B101 will dedicate,free and clear of any encumbrances,mortgages,collateralization, or other monetary liens,a portion of the B101 Parcel comprising 3.126±acres of real property fronting 95th Avenue,as legally described the attached Exhibit 3 (the"Dedication Parcel")to be incorporated into the Roadway.The dedication shall be in the form of an executed and recorded Map of Dedication. b. At the same time that the Dedication Parcel is dedicated,B101 shall deliver an executed and acknowledged Temporary Construction Easement Agreement in the form the attached Exhibit 4,to be recorded in the official records of the Maricopa County Recorder. 1 C:\Users\seldinrealestate\Desktop\MOU 2.15.18 KCI.docx 2. Road Construction: a. Roadway: Promptly after the dedication of the Dedication Parcel, Glendale shall commence and diligently construct to completion the Roadway on the Dedication Parcel and other property owned or controlled by Glendale (collectively"City Property"), such work to include,without limitation,full- width paving of a 64' B/B arterial section A2,with landscaping and sidewalk improvements. b. Related Improvements: In addition to the Roadway,Glendale will also construct on City Property retention basins to collect drainage from the Roadway, signal modifications at the intersection of 95th Avenue and Bethany Home Road, and water and wastewater extensions and stub-outs in the Roadway,with tap-in extensions stubbed to the B101 Parcel at locations agreed upon by Glendale and B101. The City shall also construct a future signal at 95th Avenue and Montebello Road. c. Construction: Glendale shall construct the Roadway and the related improvements described in Section 2.b above at its sole cost and expense, and shall diligently complete the work in accordance with all rules, regulations and statutes of Glendale and any other applicable governmental authority or utility. Glendale shall not allow any liens or encumbrances, including mechanics' liens,relating to such work to impact or affect the B101 Parcel. 3. Term: The term of this MOU shall expire on the earlier of: (a)August 1,2019, or(b) the completion of the Roadway and related improvements on the Dedication Parcel. Nevertheless,time is of the essence for this MOU. 4. Insurance: Glendale will pay all title, closing costs, and escrow fees relating to the transactions described in this MOU, including dedication of the Dedication Parcel. Glendale warrants that it is self-insured in excess of Arizona statutory requirements. 5. Mutual Indemnification: In the event a third-party claim is filed in connection with this MOU,the parties agree to mutual indemnification as follows: a. B101: During the term of this MOU,B101 agrees to indemnify,hold, protect and save harmless Glendale and any and all of its officers, agents and employees from and against any and all actions, proceedings, claims and demands, loss, liens, costs,expense and liability of any kind and nature whatsoever,arising from or attributable to or caused directly or indirectly by the negligent wrongful acts,omission or operations conducted by B101, its officers,agents,employees, or by any person or persons acting on behalf of B101, or with B 101's knowledge and consent,expressed or implied, in connection with the dedication of land and road improvements along this portion of 95th Avenue which is the subject of this MOU. b. Glendale: During the term of this MOU, Glendale agrees to indemnify,hold, protect, and save harmless B101 and any and all of its officers, agents, employees from and against any and all notices,audits,proceedings, claim and demands, loss, liens, costs,expense and liability of any kind and nature whatsoever,arising from or attributable to or caused directly or indirectly by 2 C:\Users\seldinrealestate\Desktop\MOU 2.15.18 KCI.docx the negligent wrongful acts,omissions or operations conducted by Glendale, its officers,agents, employees and volunteers, or by any person or persons acting on behalf of Glendale, or with Glendale's knowledge and consent, expressed or implied, in connection with the road construction and infrastructure improvements set forth in this MOU. 6. Damages: For this transaction,monetary damages for breach of this MOU would be inadequate and insufficient. The parties are each entitled to the remedy of Specific Performance of their obligations. 7. Notices: Any notices required or permitted by this MOU shall be effective upon the earlier of personal delivery or by overnight commercial courier and receipt or three (3)business days after deposit in the United States mail,registered or certified mail, postage prepaid,and addressed as set forth below: Glendale: City Manager City Engineer City of Glendale 5850 W. Partnership or Joint Venture: Nothing contained in this MOU is intended to or shall be construed as creating the relationship of a partnership or joint venture between Glendale and B101 or as constituting either party as the agent for the other. 9. Conflict: B101 acknowledges this MOU is subject to A.R.S. § 38-511,which allows for cancellation of this agreement in the event any person who is significantly involved in initiating,negotiating,securing,drafting,or creating the agreement on City's behalf is also an employee, agent,or consultant of any other party to this MOU. 10. This MOU,which includes Exhibits 1 through 4,which exhibits are incorporated herein by this reference,constitutes the entire agreement between the parties pertaining to the subject matter contained in this MOU. All prior and contemporaneous agreements,representations and understandings of the parties,oral or written,are superseded by and merged in this MOU. The obligations and benefits set forth in this MOU shall run with the land and shall be binding upon the successors and assigns of the parties hereto. This MOU shall be deemed to have been executed by all parties on the date first written above. The Easement, rights and privileges are non-exclusive, and Grantor shall be permitted to utilize the Grantor's Property, including the right to convey other easements on the Easement Premises which do not conflict with Grantee's rights under this Easement. Grantee for itself and its successors and assigns agrees to indemnify and defend Grantor against all claims, suits, liability, and expense on account of injury or death of persons or damage to property caused by or arising out of any negligent or otherwise wrongful acts or omissions of Grantee or any licensee, contractor, agent, or invitee of Grantee in connection with this Easement,and not caused or contributed to by the willful misconduct of Grantor. Grantee will carry and keep in force, at its own expense, comprehensive general liability insurance with companies that do business in the State of Arizona, in an amount not less than $2,000,000.00 single limited personal injury and property damage; and$2,000,000.00 combined personal injury and property damage.All policies of insurance shall be considered primary of any existing, similar insurance carried by Grantor. Grantor shall be named as an additional insured on all such policies of insurance. The Grantee shall furnish Grantor with a certificate of insurance upon written request.The above requirements may be satisfied using a combination of insurance/self-insurance. Once Grantee has commenced construction of the Improvements in the Easement Premises, Grantee shall diligently pursue such improvements to completion. All Improvements in the Easement Premises shall be performed in a good and workmanlike manner.Upon completion of the construction and installation of the Improvements, Grantee shall, at its sole cost and expense, promptly replace and restore any structures and/or improvements that have been relocated, removed or damaged during the construction period and shall restore Grantor's Property to as good or better condition than prior to such construction. Grantor also retains, reserves, and shall continue to enjoy use of the surface and subsurface of the Grantor's Property for any and all purposes that do not interfere with or prevent the construction of the Improvements by Grantee in the Easement Premises.
